1. Introduction & Agreement

Welcome to TeemUp. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and TeemUp ("TeemUp", "we", "our", or "us") governing your access to and use of the TeemUp website, web application, and associated tools (collectively, the "Platform" or "Services").

By registering an account, connecting a channel, or accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use TeemUp.

2. Definitions

• "TeemUp" means the platform, operations, software, and team providing the collaboration services.
• "Platform" / "Services" means the TeemUp website, application, matchmaking features, workspace tools, and related functionality.
• "User" means any individual or authorized organizational representative who accesses or uses the Platform.
• "Creator" means a content creator or influencer who registers on TeemUp to showcase portfolio metrics, connect with brands, or manage collaborations.
• "Brand" means a business or advertiser seeking to discover, negotiate, and coordinate partnership campaigns with Creators.
• "Agency" means a marketing, talent, or media agency managing multiple creator or brand partnerships.
• "User Content" means any text, campaign briefs, profile descriptions, logos, graphics, messages, or files submitted by users to the Platform.

3. Eligibility & Legal Capacity

To use TeemUp, you must:

• Be at least 18 years of age.
• Possess the full legal power, capacity, and authority to enter into these Terms.
• If representing a company, brand, or agency, be authorized to bind that entity to this agreement.

By using the Platform, you represent and warrant that you satisfy all eligibility requirements.

4. Accounts & Google Sign-In

To access core platform features, you must create an account using Google authentication (Google Sign-In). In doing so, you agree that:

• Accurate Information: You will provide accurate, current, and complete information during registration and keep your profile updated.
• Account Security: You are responsible for safeguarding your Google account credentials and for all activities occurring under your TeemUp account.
• Non-Transferability: Accounts are personal to the registered user or organization. You may not sell, transfer, share, or lease your account credentials to third parties without our prior written consent.
• Prompt Notification: You agree to notify us immediately at if you discover or suspect unauthorized access to your account.

5. YouTube Integration & API Services

TeemUp allows Creators to connect their YouTube channels via official YouTube API Services to display verifiable public metrics to Brands. When using YouTube features on TeemUp, you acknowledge and agree that:

• Authorized Access: You grant TeemUp permission via Google OAuth to access specified public channel metadata, public subscriber numbers, view counts, and video metrics. TeemUp accesses only the permissions explicitly granted.
• Third-Party Terms: Your use of YouTube integration features is subject to the YouTube Terms of Service and the Google Privacy Policy.
• Revocation of Access: You may disconnect or revoke TeemUp's access to your YouTube channel at any time through your Google Account permissions settings at https://myaccount.google.com/permissions.

6. Creator & Brand Responsibilities

TeemUp serves as a connection and coordination platform. Users are solely responsible for their independent business arrangements:

• Campaign Terms & Contracts: Brands and Creators are responsible for establishing written deliverables, milestones, deadlines, and commercial terms for their collaborations.
• Advertising Disclosures & Compliance: Creators and Brands agree to comply with applicable advertising standards and consumer protection guidelines (such as ASCI Guidelines and the Consumer Protection Act in India). Creators are responsible for ensuring that sponsored content includes clear and prominent disclosures (e.g., #ad, #sponsored, #collab).
• Truth in Advertising: Brands warrant that their campaign briefs, product claims, and instructions do not promote misleading, fraudulent, or unlawful goods or services.
• Taxes & Regulatory Obligations: Users are solely responsible for calculating, reporting, and remitting any taxes (including GST and TDS) applicable to compensation or transactions negotiated between parties.

7. Acceptable Use & Prohibited Activities

You agree to use TeemUp only for lawful, professional purposes. You agree NOT to:

• Create fake accounts, misrepresent your identity, impersonate any individual or brand, or fabricate channel metrics.
• Post or transmit spam, unsolicited commercial pitches, harassment, hate speech, defamatory remarks, or abusive communications.
• Upload files or links containing viruses, malware, trojans, ransomware, or malicious code.
• Infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, or intellectual property rights of others.
• Scrape, datamine, crawl, or harvest data from the Platform using automated bots, scripts, or extractors without explicit permission.
• Decompile, disassemble, reverse engineer, or attempt to derive the source code of any software powering TeemUp.
• Perform unauthorized security scans, penetration tests, vulnerability assessments, or attempt to bypass authentication mechanisms.
• Interfere with, disrupt, or place an unreasonable load on the Platform's infrastructure, servers, or networks.

8. AI-Assisted Features & Recommendations

TeemUp may provide algorithmic or AI-assisted creator recommendations, category matchmaking, or draft communication suggestions to enhance user experience:

• Informational Convenience: AI-generated outputs and recommendations are provided for convenience and guidance only.
• No Guarantee of Accuracy: AI outputs may occasionally be incomplete or inaccurate. TeemUp does not guarantee the performance, reliability, or suitability of recommended creators or brands.
• User Discretion: You remain solely responsible for reviewing and vetting prospective partners before entering into any collaboration. AI suggestions do not constitute legal, marketing, or business advice.

9. User Content & License

You retain full ownership of the User Content (such as profile images, descriptions, campaign briefs, and messages) that you submit to TeemUp.

License to TeemUp: By submitting User Content to the Platform, you grant TeemUp a limited, non-exclusive, worldwide, royalty-free license to host, display, reproduce, and transmit such content solely as necessary to operate, maintain, and provide the Services to you and other users.

You represent and warrant that you own or possess all necessary rights, permissions, and licenses to submit your User Content without violating third-party rights.

10. Intellectual Property Rights of TeemUp

TeemUp and its licensors retain exclusive ownership of all rights, title, and interest in and to the Platform, including all software code, interface designs, graphics, branding, trademarks, logos, interactive components, and documentation. Nothing in these Terms grants you any right, title, or interest in TeemUp's intellectual property, except for the limited right to use the Platform in accordance with these Terms.

11. Feedback

If you choose to submit feedback, ideas, or suggestions regarding the Platform ("Feedback"), you agree that TeemUp is free to use, modify, and implement such Feedback without any restriction, compensation, or accounting to you.

12. Platform Availability & Modifications

We strive to maintain reliable platform operations, but you acknowledge that:

• The Platform may occasionally be temporarily unavailable due to scheduled maintenance, system upgrades, or technical emergencies.
• We may modify, update, enhance, or deprecate specific features or tools over time to improve the service.
• We do not guarantee uninterrupted, error-free, or continuous platform availability.

13. Payments & Future Paid Services

TeemUp currently operates as a connection platform and does not process payments or hold funds in escrow between users. All financial transactions resulting from partnerships are arranged directly between the collaborating parties off-platform.

If paid subscriptions, featured listings, or premium tools are introduced in the future, additional terms and pricing will be clearly disclosed, and users will have the opportunity to review and accept those terms before making any purchase.

14. Suspension & Termination

We may suspend or terminate your access to TeemUp when reasonably necessary to:

• Enforce these Terms or our Community Guidelines.
• Protect the security, integrity, and safety of the Platform and its users.
• Comply with applicable legal requirements, court orders, or government requests.
• Investigate credible allegations of fraud, impersonation, copyright infringement, or platform abuse.

Where reasonable and legally permissible, we will provide notice before taking action. You may also terminate your account at any time by contacting .

15. Disclaimers

Platform as a Facilitator: TeemUp provides tools to facilitate introductions and campaign coordination. TeemUp is not a party to any contract, deal, or collaboration negotiated between users, nor do we act as an employer, talent agent, or representative for any Creator or Brand.

"AS IS" Basis: To the maximum extent permitted by applicable law, the Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, statutory, or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• TeemUp and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, or goodwill, arising out of or related to your use of the Platform or interactions with other users.
• To the extent permitted by law, TeemUp's total aggregate liability for all claims arising under or relating to these Terms shall not exceed the amount paid by you to TeemUp (if any) in the twelve (12) months preceding the claim, or INR 1,000, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be lawfully excluded under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless TeemUp, its founders, and affiliates from and against any reasonable third-party claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your breach of applicable advertising or consumer protection laws; or (d) any dispute between you and another user.

18. Force Majeure

TeemUp shall not be held responsible or liable for any failure or delay in performance resulting from events beyond our reasonable control, including natural disasters, telecommunication or internet infrastructure failures, power disruptions, widespread cyber-attacks, server outages, labor strikes, civil unrest, or governmental actions.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to conflict of laws principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be subject to the jurisdiction of the competent courts in India.

20. General Legal Provisions

• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
• Entire Agreement: These Terms and the Privacy Policy constitute the complete and exclusive agreement between you and TeemUp regarding your use of the Services.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. TeemUp may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.
• Modifications to Terms: We may update these Terms from time to time. When changes are made, we will revise the "Last Updated" date at the top of this document. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
